Vanguard’s Investment Stewardship team serves as the voice for more than 20 million Vanguard investors, by advocating, engaging, and voting on their behalf. We promote the highest standard of corporate governance among our portfolio holdings, and engage directly with company executives and directors on topics such as risk, strategy, board composition, and governance standards. We also weigh in on important matters at shareholder meetings across all of our portfolios – making decisions and casting votes on upwards of 169,000 ballot items in the past year alone.

In this role you will:

  • Cultivates expertise in corporate governance: develops expertise in Vanguard’s investment stewardship philosophy and voting guidelines, covering such areas of corporate governance as board composition, executive compensation, governance structures, and the board’s oversight of risk and strategy, including ESG matters.
  • Research and analysis: Analyzes highly complex or contentious proposals to develop voting recommendations to be presented to senior management. Conducts research and analysis on portfolio companies and specific proposals utilizing third-party research, company engagements and disclosures, conversations with portfolio managers and other industry information.
  • Leadership and oversight responsibilities: oversees the timely execution of routine and moderately complex voting decisions by less-experienced analysts. Mentors others within the department, providing coaching and feedback to other analysts, and engaging in discussions about the application of Vanguard’s voting guidelines, engagement preparation materials or general governance topics.
  • Engagement and executive presence: actively participates in engagements with portfolio companies. Demonstrates professional presence in conversations and meetings with senior company officials (senior executives or board members). Effectively communicates Vanguard’s investment stewardship philosophy and applicable guidelines on certain matters. Presents ideas and recommendations clearly in verbal or written form to senior management within the department. Partners with management to draft memos or other materials for senior staff or others as necessary.
  • Project leadership and team strategy: Leads projects within the department with a cross-sector team. Develops ideas for new projects and initiatives to improve voting outcomes, increase operational efficiency, or reduce risk. Participates in special projects and performs other duties as assigned.

What it takes:

* Undergraduate degree; pursuit of advanced degree or certification preferred.

* Three to five years of experience in financial services, preferably in the governance realm or a related role.

* Strong business and investment acumen, including a demonstrated interest in investment stewardship topics.

* Excellent analytical and written / verbal communication skills. Comfortable communicating at all levels of management. Excellent executive presence.

* Strong research, analytical and conceptual thinking skills.
